Sully's Systems provides websites, marketing systems, and related services for local service businesses. The specific scope, deliverables, timelines, and fees for any engagement are described in a separate agreement, proposal, or order between you and us. In the event of a conflict between these Terms and that separate agreement, the separate agreement controls for that engagement.

SMS Messaging Terms

Program identity

Program name: Sully's Systems SMS Program. Sully's Systems is operated by Sam Yan.

Message types

Depending on the consent you select, you may receive:

Payments and billing

We retain all rights, title, and interest in our website, brand, software, templates, processes, and underlying tools. You retain ownership of the content and materials you provide to us. Ownership of project deliverables is governed by your engagement agreement; in the absence of a specific written term, deliverables created specifically for you are licensed to you for your use upon full payment.

Our services may rely on or integrate with third-party platforms (for example, hosting, scheduling, messaging, analytics, and payment providers). Your use of those platforms is subject to their terms and privacy policies. We are not responsible for the availability, performance, or actions of third-party services.

Disclaimers

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not guarantee specific business outcomes, leads, rankings, conversions, or revenue.

Limitation of liability

Termination of an active engagement is governed by your engagement agreement. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. The exclusive venue for any disputes will be the state and federal courts located in California, and you consent to personal jurisdiction in those courts.

Changes to the terms

We may update these Terms from time to time. When we do, we will update the effective date and last-updated date above. Your continued use of our website or services after an update means you accept the updated Terms.
